The Company

Veterinary Thought Exchange Limited (“vtx Ltd”) is a company registered in England under 11928932 of St George’s Court, Winnington Avenue, Norwich, Cheshire, England, CW8 4EE.

Introduction

These terms govern your use of our website. By reading these and entering into any form of contract with us and by using the services we provide you accept these Terms & Conditions. Should you disagree with any of the terms stipulated then you should not proceed with using our website or services.

It is essential you read these Terms & Conditions and that you have fully understood the terms set out by vtx Ltd. You should contact vtx Ltd in order to clarify anything that is unclear.

Ownership of Material and Intellectual Property Rights

Copyright and other rights of intellectual property protect this site and all materials including, without limitation, articles, text, photographs, images, computer software, illustrations etc. and can only be used for the purpose stipulated in association with the service paid for.

The information on this website cannot be republished, sold, used to display in public, reproduced, duplicated or used for a commercial purpose.

Materials we make available for distribution within your veterinary practice must retain our company logo, authorised credits and copyright notices.

If we discover materials are being used in a manner which contravenes copyright laws we may take legal action to recover losses and the costs of such.

Acceptable Use

You must not use our website in any way that causes, or may cause, damage to the website or impairment of the availability or accessibility of the website; or in any way which is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

You must not use our website to copy, store, host, transmit, send, use, publish or distribute any material which consists of (or is linked to) any spyware, computer virus, Trojan horse, worm, keystroke logger, rootkit or other malicious computer software.

You must not conduct any systematic or automated data collection activities (including without limitation scraping, data mining, data extraction and data harvesting) on or in relation to our website without our express written consent.

You must not use our website to transmit or send unsolicited commercial communications.

You must not use our website for any purposes related to marketing without our express written consent.

Restricted access
Access to certain areas of our website is restricted. We reserve the right to restrict access to other areas of our website, or indeed our whole website, at our discretion.

If we provide you with a user ID and password to enable you to access restricted areas of our website or other content or services, you must ensure that that user ID and password is kept confidential.

You must notify us in writing immediately if you become aware of any unauthorised use of your account or password.

You are responsible for any activity on our website arising out of any failure to keep your password confidential and may be held liable for any losses arising out of such a failure.

You must not use any other person’s user ID and password to access our website.

We may disable your user ID and password in our sole discretion without notice or explanation.

Force Majure

vtx Ltd cannot be held responsible for the failure to perform or fulfil the obligations under these terms by events outside reasonable control (force Majure).  A Force majure event includes (without limitation) the following:

  • Strikes or industrial action
  • Riot, war or threat of terrorism
  • Fire, storm, flood or natural disaster
  • Pandemics
  • Telecommunications issues beyond our control

 

Payment

All payments for services are due in advance and when signing up for the service.

Payments should be made online directly through the vtx website using our chosen payment platform.

The fees, expenses and any other sums payable to vtx Ltd under this contract are inclusive of VAT.

vtx Ltd may from time to time increase the fees on 30 days’ written notice. Details of the increase shall either be sent out via email and/or published on the vtx Ltd website.

If any of the methods of payment are unsuitable for you, please get in contact with us to arrange something suitable.

Invoices can be issued, and where this occurs, payment MUST be made by the deadline provided on the invoice. Failure to pay by this date may result in any reservations for products or services to be cancelled by vtx Ltd.

Monthly/Annual Recurring Payments

Membership can be paid on a recurring basis either as monthly or annually via our website. Monthly costs for this subscription service can be found on our website under the membership page.

Minimum Membership Period – Minimum Membership Period (MMP) is defined as the minimum agreement length for any paid membership outlined above, from initial date of details submission (unless otherwise stated as part of a special offer). The MMP for all memberships above (and future memberships offered by vtx Ltd) is 12 months.

Payment terms – you agree to make payment equal to your annual membership fee as detailed in your individual payment schedule (recurring payments). Vtx Ltd agrees to inform our members 30 days prior to your renewal date with details of your membership and payment plan for the following year including any changes to membership price increases and or decreases that vtx Ltd decide to make.

Any members who choose to pay monthly using a payment schedule (recurring payments), must also adhere to the terms and conditions at the point of signing up with this payment provider.

Confidentiality

vtx Ltd will not at any time or in any manner, either directly or indirectly, use for vtx Ltd’s benefit or divulge, disclose or communicate in any manner any information that is proprietary of the client (unless permission is given by the client). vtx Ltd will act reasonably to protect such information and treat it as strictly confidential.

vtx Ltd will treat all communications with the client as strictly confidential; both during and after the project development period.

All and any personal information that the Veterinary Thought Exchange holds about its members and non-members, will only be used for marketing and promotion of services from the Veterinary Thought Exchange.  No information held by us will be shared or sold to any third-party companies.

Disclaimer in relation to Third Parties

The Contracts (Right of Third Parties) Act 1999 shall not apply to the contract and nothing in the contract shall give any third party any benefit or any right to enforce any term of the contract.

Responsibility of vtx Ltd
vtx Ltd shall provide the services with a high degree of skill and care, to a standard to be reasonably expected from a competent and professional Veterinary Specialist. vtx Ltd will also ensure that access to the website and all discussion forums will be solely to those from within the veterinary profession, however vtx reserve the right to permit suitably qualified people rights to access parts of the website at their discretion.

vtx ltd reserve the right to ask members to provide information regarding their qualifications, year of graduation, place of study and licence number (Country of Origin) to ascertain they hold the correct level of membership. Any refusal to provide this information within 24 hours of it being requested will result in vtx ltd cancelling your membership and they shall refund any fees paid minus a one off administration fee of £5.00.

We shall process your data in accordance with the Data Protection Act 1998.

Responsibility of the client

The client warrants that to the best of its knowledge and belief, all information provided by it to vtx Ltd is accurate and complete, to allow vtx Ltd to offer appropriate advice requested. Any failure to provide accurate information may result in vtx Ltd asking you to confirm additional information and where this information is not provided within 25 hours, vtx Ltd reserve the right to cancel your membership subscription. Any fees that have been paid shall be refunded minus a one off administration fee of £5.00.

It is the members and non-members responsibility to keep their contact details up to date so that we can contact them.  The Veterinary Thought Exchange takes no responsibility where a member/non-member leaves themselves logged into their account on any public domain. It is their responsibility to keep their usernames and passwords confidential. Where a person thinks that someone else is accessing their account, they must contact vtx Ltd as soon as possible: info@vtx-cpd.com

The client warrants that they are a qualified veterinary surgeon, student veterinary surgeon or registered veterinary nurse and that all licences relevant to their jurisdiction have been applied for and gained. If any person wishes to join vtx membership, but do not fall into one of the above job role categories, they should contact vtx Ltd in the first instance to ascertain if they are able to become members. The client also warrants that they comply with all the relevant laws and regulations (Veterinary Surgeons Act, 1966) in the jurisdiction pertaining to the examination, diagnosis and treatment of animals.

Governing Law & Jurisdiction 

These Terms & Conditions are to be constructed in accordance with the laws of England and in the event of any dispute or claim associated with these Terms & Conditions, that dispute or claim shall be subject to the exclusive jurisdiction of the English courts.

Entire Agreement 

These Terms & Conditions of business supersede any previous versions and apply to all present and future projects unless otherwise agreed in writing. vtx Ltd reserves the right to change or modify these terms at any stage with immediate effect. By agreeing to these terms, your statutory rights are not affected.

These Terms & Conditions are not concrete and changes to these may be varied by written agreement of both parties.

These Terms & Conditions, including any excerpts from it, are not to be shared with any 3rd party without express written permission from an authorised vtx Ltd. employee.

Nothing in this contract shall constitute or be deemed to constitute a partnership or relationship of agency between the vtx Ltd and the client and neither party shall have any authority to bind the other in any way.

No failure or delay by vtx Ltd to exercise any right under the contract shall be deemed to be a waiver of that right, nor preclude the exercise or enforcement of it at any later time.

If any provision of the contract shall be held to be illegal or unenforceable, the enforceability of the remainder of the contract shall not be affected.

By accessing and using this website you acknowledge and agree that the use of the content is entirely at your own risk.

General

When using our website, we may provide links to other, third party websites on our website. These links are for your information only and do not constitute any endorsement of any third-party products, services or information and you acknowledge and accept that any reliance upon such information shall be at your own risk. We have no responsibility for the content of such websites or pages and accept no liability for any losses whatsoever that may be incurred as a result of any linking to the same.

If you have a complaint or feedback about any aspect of the service that we offer, we encourage you to get in touch with us, to allow us to rectify the situation in a manner that has a satisfactory conclusion for all parties. Services

This website provides a variety of services including Membership,

Consultancy Advice Service, Discussion Forum, Online Courses and CPD Day Events.

Membership

“Membership” refers to the fee paid for the services provided on this website.

The minimum membership period is 12 months, paid in advance for the year ahead, unless a payment plan has been agreed.

New memberships come with a 30-day money back guarantee. If you are not completely satisfied with any element of the service, then you may cancel your membership and request a refund within 30 days of signing up. This offer only applies if you have viewed under 5 hours of the seminar content, and you will be given a refund of whatever you have paid (minus admin fees of £25).

There is an automatic renewal process in place; however, a reminder email will be issued for all membership accounts approx 1 month before your membership is due for renewal.

All members will have full access to all webinars and content on the website and the additional use of consultancy advice credits to be exchanged for advice, according to your level of membership. Not all levels have access to credits.

Membership will also allow you to receive other discounted services and products, compared to a non-member, including CPD days, consultancy advice credits.

All active members will be entitled to one free access online course per annum of their choice. Any additional online courses can be bought at the cost advertised on the website. If the free course is not completed by the member, they cannot opt to start another course for free until the following membership year has commenced.

Membership cannot be exchanged for other services, nor can it be shared with anyone other than the person who took out the membership. Consultancy advice credits can only be used for a case under the care of the person who has an active membership with us.

vtx Ltd endeavours to ensure that the membership materials supplied are complete and up to date at the time of production but undertakes no legal responsibility to this effect and shall not be responsible for any errors or omissions in or from the membership material.

Clinical Advice Service

This service is offered to both members and non-members. For members, they will have a designated umber of credits per level of membership that can be exchanged for telephone advice from a specialist member of our team. Once these credits have been exhausted, additional credit/ advice can be purchased for additional member reduced rates in comparison to non-members.

Members can interchange their credits between new requests and follow up advice regardless of when the patient was last seen. Once credit allowance has been used per annum, the pricing structure will be as for non-members with regards to new advice requests and follow up requests.

Each clinical advice request must be made using the ‘Advice Request’ tab on our website and relevant documents uploaded for review. A time and date for the case to be discussed should also be requested. Each credit allows for a 30 minute telephone consultation regarding a case under your direct care as a member of the RCVS. Additional credits can be purchased according to your membership status and level (see fees).

Follow up advice can be given for the same patient as long as it is within 6 months. Otherwise, it will be classed as a new request.

Clinical advice ‘credits’ cannot be interchanged or guested to other members or non-members for use.

We do not provide emergency advice and therefore if emergency advice is required, please contact your nearest emergency referral centre.

Clinical advice will be offered between the following working hours: Monday to Friday between the hours of 0900-1700, excluding bank holidays.

In cases where an advice request has been made and the patient no longer requires this advice for whatever reason, as long as we are notified in a timely manner, the credit can be returned and used on another patient. However, if we are not notified or we are notified after the telephone appointment has passed, this credit will no longer be available for use.

All advice will be given by a European and/or American Boarded Specialist or RCVS recognised specialist in their field.

vtx Ltd reserves the right to remove this service at any time, however they will endeavour to continue with any open advice requests until they are fulfilled by both parties.

Disclaimer

vtx Ltd accepts no liability for the advice provided to a clinician for any injury or death caused to any third party’s pet or livestock. The advice given is based on the information provided by the clinician and this cannot be guaranteed to be accurate by vtx Ltd.

The primary overseeing clinician is ultimately responsible for the care of the animal under their direct care.

Online Courses

Payment for all online courses is due at the time of booking and once purchased is non-refundable. Online courses will commence and complete on the dates stated at the time of booking. vtx Ltd reserves the right to alter the programme, date and speakers should this be necessary.

The Live Q&A element of the courses will run from the initial start date of the course for the duration of 8 weeks. If any delegate signs up to the courses post 8 weeks of course commencing they will only have access to the ‘recorded’ Live Q&A sessions and not new Live sessions.

Certificates of completion for CPD attended with vtx will only be issued where a minimum of 80% of the course content has been completed by the course participant. This also applies to individual webinar content that has been watched.

Where an applicant is unable to fulfil their obligations to the course, they may be able to transfer to a course starting at a later date for a one off £50 admin charge, however this is down to the discretion of vtx Ltd and the applicant must put their request in writing to info@vtx-cpd.com

Applicants may redeem the cost of their online course against membership with vtx using the relevant discount coupon. In the circumstance where an applicant does this, they will not be permitted to obtain their FREE entitlement to one online course per year for members until the next rolling annual year (that is 12 months and 1 day post subscribing to membership).

CPD Day Event

All places reserved for the CPD day will be via the website and payment will be required at the time booking.

Smaller seminar sessions may be offered at each event and these places will be offered on a first come, first served basis. Once these places are full, if you are still interested you will be placed on a waiting list and should a place become available, you will be contacted by one of our admin staff.

A schedule and programme of each event will be made available and will feature on the website.

vtx Ltd reserves the right to alter the programme, date, venue and speakers should this be necessary.

vtx Ltd will not be liable for travel, accommodation or any expenses incurred by delegates.

Cancellation Policy

If you cancel your booking more than 3 months before the date of the CPD day, you will have 50% of your fee refunded. If you cancel with less than 3 months prior to the event, you will not be entitled to any refund.  However, places can be amended to another delegate for a one off £25 administration charge at the time of making the request.

In the instance that vtx Ltd need to cancel an event our first approach will be to re-schedule to the next most appropriate date/venue. If a delegate cannot attend the alternative proposed date, they can transfer to someone else for a one off £25 admin charge. If this is not possible, a full refund will be issued at the original cost price at time of purchase.
